1. INTRODUCTION

Welcome to Damascus Projects.

These Terms of Use ("Terms," "Terms of Use" or "Agreement") govern your access to and use of the Damascus Projects website, mobile application, software, platform, products and related services (collectively, the "Platform").

The Platform is operated by Damascus Projects & Services, a company operating from Nigeria ("Damascus Projects," "we," "us," "our," and "ourselves").

By creating an account, accessing the Platform, subscribing to our services, participating in a live stream, communicating with another user, uploading content, or otherwise using the Platform, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not use the Platform.

These Terms should be read together with our:

  • Business Listing Rules
  • Video Content Rules
  • Complaint Policy
  • Subscription and Refund Policy

Where additional terms apply to a particular service, those terms form part of your agreement with us.

2. WHO DAMASCUS PROJECTS IS

Damascus Projects is a technology platform designed to facilitate introductions and communication between users, including business owners, entrepreneurs, investors, companies, institutions and other persons seeking business opportunities or connections.

The Platform may provide features including:

  • investor profiles;
  • business-owner profiles;
  • business/project presentations;
  • video prototypes;
  • live video streaming;
  • investor live streams;
  • business-owner participation in live streams;
  • private communication;
  • messaging;
  • notifications;
  • subscriptions;
  • business/project listings; and
  • other communication and introduction tools.

Our role is primarily to provide the technological environment through which users may discover, communicate with and potentially transact with one another.

3. DAMASCUS PROJECTS IS NOT AN INVESTMENT COMPANY

Unless expressly stated otherwise in writing for a particular service, Damascus Projects is not an investment fund, investment manager, securities dealer, broker, financial adviser, investment adviser, bank or financial institution merely by operating the Platform.

The Platform does not constitute an offer by Damascus Projects to sell securities, solicit investments, manage investments or guarantee the financial performance of any business, project or investment opportunity.

A user's decision to invest, lend, partner with, purchase from, employ, finance or otherwise transact with another user is the user's own decision.

Users are responsible for conducting their own due diligence before entering into any transaction.

4. NO GUARANTEE OF INVESTMENT OR BUSINESS SUCCESS

Damascus Projects does not guarantee that:

  • a business owner will obtain investment;
  • an investor will find a suitable business;
  • a user will receive funding;
  • a business will become profitable;
  • an investor will obtain a return;
  • an introduction will result in a transaction;
  • a user will enter into a partnership;
  • a project will succeed;
  • information supplied by another user will be accurate;
  • a user will honour an agreement made with another user; or
  • any particular result will be achieved through use of the Platform.

Past results, testimonials, examples or demonstrations do not constitute a guarantee of future results.

5. USER-TO-USER RELATIONSHIPS

Damascus Projects may introduce users to one another.

However, Damascus Projects is not automatically a party to any agreement, investment, partnership, loan, employment arrangement, purchase, sale, joint venture or other transaction entered into between users.

Once users decide to communicate or transact with one another, they are responsible for determining the terms of their relationship.

Any agreement between users should be independently documented and reviewed where appropriate.

6. USER DUE DILIGENCE

Users are solely responsible for conducting appropriate due diligence before relying on information supplied by another user.

This may include verifying:

  • identity;
  • ownership;
  • business registration;
  • financial information;
  • licences;
  • intellectual property rights;
  • claims concerning products or services;
  • investment information;
  • business performance;
  • project ownership;
  • authority to enter into a transaction;
  • representations made during live streams; and
  • any other information relevant to a proposed transaction.

Damascus Projects does not guarantee that information submitted by users is accurate, complete, current or independently verified.

7. ACCOUNT REGISTRATION

Certain Platform features may require you to create an account.

You agree to provide accurate, current and complete information when registering.

You must not:

  • create an account using another person's identity;
  • impersonate another person or organisation;
  • provide deliberately false information;
  • create accounts for fraudulent purposes;
  • create multiple accounts where prohibited by our policies;
  • sell, transfer or improperly share your account; or
  • use another person's account without permission.

You are responsible for activities conducted through your account.

8. ACCOUNT SECURITY

You are responsible for keeping your login credentials confidential.

You must promptly notify Damascus Projects if you suspect:

  • unauthorised access;
  • account compromise;
  • loss of account credentials;
  • impersonation; or
  • other suspicious activity.

You should not share passwords or authentication credentials with other persons.

9. AGE AND ELIGIBILITY

You may use the Platform only if you are legally capable of entering into a binding agreement under applicable law and satisfy any age requirements applicable to the relevant service.

Where a particular service is legally restricted to persons above a specified age, you must satisfy that requirement before using the service.

We may restrict or terminate accounts where we reasonably believe an account has been created in violation of applicable age or eligibility requirements.

10. SUBSCRIPTIONS

Certain features may require a paid subscription.

Before purchasing a subscription, you will be provided with information concerning:

  • the applicable price;
  • billing period;
  • available features;
  • applicable taxes or charges where relevant;
  • renewal terms where applicable; and
  • cancellation or refund terms.

You agree to pay applicable subscription charges in accordance with the payment terms displayed at the time of purchase.

11. AUTOMATIC RENEWAL

Where a subscription automatically renews, the renewal terms will be disclosed before purchase.

You may cancel future renewals in accordance with the applicable subscription instructions.

Cancellation of a subscription does not necessarily create a right to a refund for a period already used, except where required by applicable law or expressly provided under our refund policy.

12. PRICING

We may change our subscription prices or introduce new charges.

Where a price change affects an existing subscription, we will provide notice where required by applicable law.

The price applicable to a transaction will be the price disclosed to you before you complete the transaction.

We will not intentionally conceal material charges.

13. PAYMENTS

Payments may be processed through third-party payment providers.

You agree to provide accurate payment information and confirm that you are authorised to use the payment method supplied.

We may suspend or restrict access where:

  • a payment is reversed;
  • a payment is declined;
  • a chargeback is initiated;
  • fraudulent payment activity is suspected; or
  • applicable payment requirements are not satisfied.

14. REFUNDS

Refunds are governed by our Subscription and Refund Policy and applicable Nigerian consumer-protection law.

Nothing in these Terms is intended to remove any consumer right that cannot lawfully be excluded.

Where a refund is approved, the refund may be made through the original payment method where reasonably practicable.

15. LIVE STREAMING

Damascus Projects may allow users to broadcast live video or participate in live broadcasts.

Users participating in live streams agree to:

  • provide truthful information;
  • respect other participants;
  • avoid abusive behaviour;
  • avoid unlawful content;
  • avoid misleading representations;
  • respect intellectual-property rights; and
  • comply with our Community Guidelines and Video Content Rules.

Damascus Projects may moderate, restrict, suspend or terminate live streams that violate these Terms or applicable law.

16. LIVE STREAM CONTENT IS USER CONTENT

Live streams are primarily created and presented by users.

Damascus Projects does not necessarily endorse statements, opinions, claims, projections, business proposals or representations made during a live stream.

Statements made by users during a live stream are the responsibility of the person making them.

Users should independently verify important claims before relying on them.

17. RECORDING AND REPRODUCTION OF LIVE CONTENT

Depending on the Platform feature, live streams or portions of live streams may be recorded, stored, moderated, reviewed or otherwise processed.

Where applicable, users will be informed through the relevant feature, settings or notices.

Users must not record, reproduce, distribute or commercially exploit another user's content in violation of applicable law or the rights of the content owner.

18. VIDEO PROTOTYPES

Damascus Projects may provide a video-prototype feature through which business owners can present their businesses, projects, products or ideas when they are not live.

Users are responsible for ensuring that they have the necessary rights and permissions to upload such content.

Damascus Projects does not guarantee that a video prototype will attract investors, generate leads or result in a transaction.

19. BUSINESS AND PROJECT LISTINGS

Users may submit business or project information for presentation on the Platform.

Users represent that:

  • the information provided is materially accurate to the best of their knowledge;
  • they have authority to submit the information;
  • they have the necessary rights to upload associated materials;
  • the content does not knowingly infringe another person's rights;
  • the information is not fraudulent or intentionally misleading; and
  • the submission complies with applicable law.

We may reject, edit, restrict or remove listings that violate these Terms or our other policies.

20. INVESTOR PROFILES

Persons or organisations presenting themselves as investors must provide accurate information concerning their identity and activities.

A profile labelled or presented as an investor does not constitute a guarantee by Damascus Projects that the person or organisation:

  • has a particular amount of capital;
  • will invest;
  • is suitable for a particular business;
  • has independently verified financial capacity; or
  • will complete a transaction.

Users should conduct their own due diligence.

21. NO GUARANTEE OF USER IDENTITY

Although we may implement account verification or other safeguards, Damascus Projects does not guarantee that every person using the Platform is exactly who they claim to be.

Verification features, where available, should not be treated as a substitute for independent due diligence.

22. USER CONTENT

"User Content" means information, text, photographs, videos, audio, presentations, business information, comments, messages and other materials submitted or transmitted by users.

You retain ownership of your User Content, subject to the rights granted to Damascus Projects under these Terms.

By submitting User Content, you grant Damascus Projects a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, transmit, format, adapt and otherwise use the content to the extent reasonably necessary to operate, provide, secure, improve and promote the Platform.

This licence continues for as long as reasonably necessary for those purposes, subject to applicable law and our Privacy Policy.

You represent that you have the rights necessary to grant this licence.

23. INTELLECTUAL PROPERTY

The Damascus Projects name, logo, trademarks, software, website design, application interface, graphics, text, databases, technology and other materials owned or licensed by Damascus Projects are protected by applicable intellectual-property laws.

Except as expressly permitted by us, you may not:

  • copy;
  • modify;
  • reproduce;
  • distribute;
  • sell;
  • license;
  • reverse engineer;
  • scrape;
  • exploit commercially; or
  • create derivative works from

our proprietary materials.

Nothing in these Terms transfers ownership of Damascus Projects intellectual property to you.

24. USER INTELLECTUAL PROPERTY

You retain ownership of intellectual property contained in User Content that you own.

However, by uploading content to a public or user-accessible portion of the Platform, you acknowledge that other users may be able to view the content.

You should therefore avoid publishing confidential trade secrets or sensitive intellectual property unless you are comfortable with the level of disclosure involved.

25. CONFIDENTIALITY

Damascus Projects does not guarantee that information voluntarily made available to other users through public profiles, live streams, business listings or other public features will remain confidential.

If your business idea or information is confidential, you should consider appropriate confidentiality arrangements before disclosing it.

Damascus Projects is not responsible for another user's unauthorised disclosure of information that the user lawfully received from you, except to the extent responsibility cannot lawfully be excluded.

26. PROHIBITED ACTIVITIES

You must not use the Platform to:

  • commit or facilitate fraud;
  • impersonate another person;
  • provide deliberately false information;
  • deceive or defraud another user;
  • solicit passwords or account credentials;
  • distribute malware or malicious code;
  • interfere with Platform security;
  • attempt unauthorised access;
  • scrape or harvest data without permission;
  • spam users;
  • harass, threaten or abuse users;
  • publish unlawful content;
  • infringe intellectual-property rights;
  • distribute stolen or unlawfully obtained information;
  • manipulate Platform features or rankings;
  • create fake engagement;
  • operate fraudulent investment schemes;
  • use the Platform for unlawful financial activities;
  • use the Platform to facilitate money laundering or other criminal activity;
  • publish deliberately misleading investment or business claims;
  • upload content that violates applicable law;
  • circumvent account restrictions;
  • create accounts to evade suspension;
  • misuse another person's personal information;
  • attempt to reverse engineer or compromise the Platform;
  • use automated systems to access the Platform without permission;
  • interfere with another user's experience; or
  • otherwise misuse the Platform.

27. FRAUDULENT OR MISLEADING OPPORTUNITIES

Users must not use Damascus Projects to promote:

  • fictitious businesses;
  • fabricated investment opportunities;
  • false financial statements;
  • false ownership claims;
  • fraudulent financing schemes;
  • pyramid or Ponzi-type schemes;
  • fraudulent employment opportunities;
  • false immigration or visa promises;
  • deceptive fundraising;
  • fake testimonials; or
  • other materially deceptive opportunities.

Damascus Projects may remove such content and take appropriate action against accounts involved.

28. FINANCIAL AND INVESTMENT DISCLAIMER

Information presented by users on the Platform is not automatically investment advice from Damascus Projects.

Damascus Projects does not guarantee:

  • the safety of an investment;
  • profitability;
  • return of capital;
  • repayment of funds;
  • business performance;
  • financial projections;
  • valuation;
  • market demand; or
  • the legitimacy of every claim made by a user.

Users must obtain independent professional advice where appropriate.

29. VISA FINANCING PROGRAMME

Damascus Projects may operate a separate visa-financing programme subject to specific eligibility requirements and programme terms.

The visa-financing programme is a financing service and does not mean that Damascus Projects:

  • issues visas;
  • approves visas;
  • controls immigration authorities;
  • guarantees visa approval;
  • acts as an immigration authority;
  • acts as a recruitment agency; or
  • guarantees employment, admission or relocation.

Where an independent immigration, educational, recruitment or other service provider is involved, that provider is responsible for the services it provides.

Financing eligibility does not constitute a guarantee of visa approval.

Additional terms may apply to applicants and financing recipients.

30. WARNING REGARDING UNAUTHORISED AGENTS

Damascus Projects may communicate official information through its authorised channels.

Users should not send money, passwords, account credentials or other sensitive information to persons claiming to represent Damascus Projects unless the transaction or request has been independently verified through an official Damascus Projects channel.

We are not responsible for losses caused by impersonators or unauthorised persons where the loss results from a user's failure to exercise reasonable care, except where applicable law provides otherwise.

If you believe someone is falsely claiming to represent Damascus Projects, please report the matter to us immediately.

31. THIRD-PARTY SERVICES

The Platform may integrate with or contain links to third-party services.

Third-party services may include:

  • payment processors;
  • hosting providers;
  • analytics providers;
  • communication services;
  • social-media services;
  • identity or verification services;
  • cloud services; and
  • other technology providers.

Third-party services are subject to their own terms and privacy policies.

Damascus Projects is not responsible for the independent acts or omissions of third-party service providers except where applicable law provides otherwise.

32. PLATFORM AVAILABILITY

We aim to maintain a reliable Platform but do not guarantee that the Platform will always be:

  • available;
  • uninterrupted;
  • error-free;
  • secure;
  • compatible with every device; or
  • free from technical problems.

The Platform may occasionally be unavailable because of:

  • maintenance;
  • upgrades;
  • technical problems;
  • telecommunications failures;
  • cyber incidents;
  • third-party service interruptions;
  • events beyond our reasonable control; or
  • other circumstances.

33. PLATFORM MODIFICATION

We may modify, suspend, replace or discontinue Platform features.

Where a material change affects a paid service, we will take reasonable steps to comply with applicable contractual and consumer-protection requirements.

34. CONTENT MODERATION

We may monitor, review, moderate, restrict or remove content where reasonably necessary to:

  • enforce these Terms;
  • protect users;
  • comply with law;
  • investigate complaints;
  • prevent fraud;
  • protect our systems;
  • respond to reports;
  • address intellectual-property complaints; or
  • maintain the integrity of the Platform.

We are not required to monitor every piece of User Content.

The absence of moderation does not mean that Damascus Projects endorses or approves particular content.

35. REPORTING VIOLATIONS

Users may report suspected:

  • fraud;
  • impersonation;
  • harassment;
  • unlawful content;
  • intellectual-property infringement;
  • misleading business information;
  • suspicious investment opportunities;
  • abuse of the Platform; or
  • violations of these Terms.

Reports may be submitted through [Insert Reporting Channel].

We may request additional information when investigating a report.

36. SUSPENSION AND TERMINATION

We may suspend, restrict or terminate an account where we reasonably believe that:

  • these Terms have been violated;
  • another Platform policy has been violated;
  • the account presents a security risk;
  • fraudulent activity is suspected;
  • unlawful activity is suspected;
  • the account was created using false information;
  • the user has misused the Platform;
  • a payment issue remains unresolved; or
  • continued access may harm Damascus Projects or other users.

Where reasonably practicable and legally appropriate, we may provide notice and an opportunity to address the issue.

We may take immediate action where necessary to protect users, the Platform, third parties or our legal interests.

37. EFFECT OF TERMINATION

Upon termination:

  • your right to use the Platform may cease;
  • access to certain content may be removed;
  • outstanding contractual obligations may continue where applicable;
  • payment obligations already incurred may remain payable; and
  • provisions that by their nature should survive termination will continue to apply.

38. USER DISPUTES

Damascus Projects encourages users to resolve disputes directly and professionally where possible.

A dispute between two users does not automatically create a dispute between either user and Damascus Projects.

Where appropriate, we may assist with information reasonably available to us, subject to privacy obligations and applicable law.

We do not act as an arbitrator, judge or guarantor of user-to-user transactions unless expressly agreed otherwise.

39. COMPLAINTS AGAINST DAMASCUS PROJECTS

If you have a complaint concerning a service provided directly by Damascus Projects, you should first contact us through:

We will acknowledge and investigate complaints in accordance with our Complaint Policy and applicable law.

Nothing in these Terms prevents a consumer from exercising a statutory right to seek assistance from a competent regulatory authority.

40. DISCLAIMERS

To the maximum extent permitted by applicable law, information supplied by users and third parties through the Platform is provided by those users or third parties and not necessarily by Damascus Projects.

We do not guarantee the accuracy, completeness, reliability or suitability of User Content.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

41. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Damascus Projects will not be responsible for losses arising solely from:

  • a user's independent decision to transact with another user;
  • inaccurate information supplied by another user;
  • failure of another user to honour an agreement;
  • investment or business losses resulting from a user-to-user transaction;
  • unauthorised actions of another user;
  • third-party services outside our reasonable control; or
  • a user's misuse of the Platform.

Nothing in this section excludes liability for matters that applicable law prohibits us from excluding or limiting, including liability that cannot legally be excluded or limited.

42. INDEMNIFICATION

To the extent permitted by applicable law, you agree to be responsible for losses, claims, liabilities and reasonable costs arising from your:

  • material breach of these Terms;
  • unlawful use of the Platform;
  • infringement of another person's intellectual-property rights;
  • fraudulent conduct;
  • deliberate misuse of the Platform; or
  • violation of applicable law.

This provision does not require you to indemnify Damascus Projects for losses caused by Damascus Projects' own conduct where such indemnification would be unlawful or unenforceable.

43. FORCE MAJEURE

Damascus Projects will not be responsible for delay or failure caused by circumstances reasonably beyond our control, including:

  • natural disasters;
  • war;
  • terrorism;
  • civil unrest;
  • government action;
  • telecommunications failures;
  • widespread internet outages;
  • power failures;
  • cyberattacks;
  • epidemics or pandemics;
  • labour disruptions;
  • third-party infrastructure failures; or
  • other extraordinary events beyond our reasonable control.

44. PRIVACY

Our processing of personal information is governed by our Privacy Policy.

By using the Platform, you acknowledge that personal data may be processed as described in our Privacy Policy and in accordance with applicable data-protection law.

Our Privacy Policy forms part of these Terms.

45. ELECTRONIC COMMUNICATIONS

By using the Platform, you agree that we may communicate with you electronically regarding:

  • your account;
  • subscriptions;
  • transactions;
  • security;
  • service changes;
  • support;
  • complaints;
  • legal notices; and
  • other matters concerning your use of the Platform.

Electronic communications may satisfy legal requirements for written communications where permitted by law.

46. NOTICES

We may provide notices through:

  • email;
  • in-app notifications;
  • website notices;
  • account notifications;
  • SMS where applicable; or
  • other reasonable electronic means.

You are responsible for ensuring that your contact information remains current.

47. CHANGES TO THESE TERMS

We may update these Terms from time to time.

Where changes are material, we may provide reasonable notice through the Platform or another appropriate communication channel.

Your continued use of the Platform after the effective date of revised Terms may constitute acceptance of the revised Terms where permitted by law.

If you do not agree with a material change, you should discontinue use of the affected service.

48. GOVERNING LAW

These Terms shall be governed by the laws of the Federal Republic of Nigeria, subject to any mandatory rights or protections that may apply to a user under applicable law.

49. DISPUTE RESOLUTION

We encourage good-faith negotiation before commencing formal proceedings.

Where a dispute cannot be resolved through our internal complaint process, the parties may pursue any dispute-resolution mechanism available under applicable Nigerian law, including mediation, arbitration where validly agreed, or proceedings before a court of competent jurisdiction.

Nothing in this provision prevents a consumer from exercising a statutory right to approach a competent regulatory authority or court.

50. JURISDICTION

Subject to applicable law and any valid dispute-resolution agreement, the courts of competent jurisdiction in Nigeria shall have jurisdiction over disputes arising from these Terms.

The parties acknowledge that mandatory consumer-protection rights applicable to a particular user or transaction shall not be excluded merely by this clause.

51. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall continue in effect.

52. NO WAIVER

A failure by Damascus Projects to enforce a provision of these Terms does not constitute a waiver of our right to enforce that provision later.

53. ENTIRE AGREEMENT

These Terms, together with the policies and additional terms expressly incorporated into them, constitute the agreement governing your use of the Platform, except where a separate written agreement applies to a particular service.

Where there is a conflict between these Terms and specific terms governing a particular service, the specific service terms will prevail to the extent of the conflict.

54. ASSIGNMENT

You may not transfer your rights or obligations under these Terms without our prior written consent, except where applicable law permits otherwise.

Damascus Projects may transfer its rights and obligations where reasonably necessary in connection with a merger, restructuring, sale, acquisition or other legitimate business transaction, subject to applicable law.

55. NO AGENCY OR PARTNERSHIP

Your use of Damascus Projects does not create:

  • a partnership;
  • joint venture;
  • employment relationship;
  • agency relationship;
  • fiduciary relationship; or
  • other legal relationship

between you and Damascus Projects except where expressly established by a separate written agreement.

Likewise, a user's relationship with another user is not automatically a relationship with Damascus Projects.

56. NO AUTHORITY TO REPRESENT DAMASCUS PROJECTS

Unless expressly authorised in writing, users may not represent that they:

  • are employees of Damascus Projects;
  • are agents of Damascus Projects;
  • are representatives of Damascus Projects;
  • can collect money on behalf of Damascus Projects;
  • can approve financing on behalf of Damascus Projects;
  • can guarantee investment;
  • can guarantee visa approval; or
  • can otherwise bind Damascus Projects.

57. THIRD-PARTY BENEFICIARIES

Except where expressly stated otherwise, these Terms do not create rights for persons who are not parties to the agreement.

58. LANGUAGE

Where these Terms are translated into another language, the English version shall prevail in the event of a conflict, to the extent permitted by applicable law.

60. ACKNOWLEDGEMENT

By clicking "Accept," creating an account, subscribing to a paid service, accessing the Platform or otherwise using Damascus Projects, you acknowledge that:

  • you have read these Terms;
  • you understand them;
  • you agree to comply with them;
  • you understand that Damascus Projects primarily provides a technology and introduction platform;
  • you understand that users are responsible for their own decisions and transactions;
  • you understand that Damascus Projects does not guarantee investment, financing, business success or transactions between users; and
  • you agree to comply with applicable law and our other Platform policies.
